Before opening

What you need to decide before opening your CNPJ

The incorporation itself is quick. What defines how much tax you will pay in the coming years are four choices made before filing: the type of company, the CNAE, the tax regime and the address.

Type of company. If you will work alone, you can open a single-member limited company (SLU), with no partner required and your personal assets kept separate from the company's. With two or more professionals, a limited company with well-drafted articles of association avoids conflicts over profit sharing and partners joining or leaving.

CNAE. It is the activity code. It determines whether the company can join the Simples Nacional, which annex it falls under and which licenses the city will require. A carelessly chosen CNAE can put the company in a more expensive tax table.

Tax regime. For most healthcare professionals, the Simples Nacional with Factor R, when payroll and partners' remuneration reach 28% of revenue, places the company in Annex III, with an initial rate of 6%. With higher revenue or specific structures, Presumed Profit may be cheaper. The choice is made with a simulation, before incorporation.

Address. If you only work in third-party hospitals and clinics, you can use a registered address. If you see patients in your own space, you need an address that allows the activity, with an operating permit and, depending on the city and type of care, a health surveillance license.

Documents

What you need to have on hand

  • ID document with CPF (Brazilian taxpayer number)
  • Proof of residential address
  • Registration with the professional council (CRM, CRO, CRP, CREFITO and others)
  • Address where the company will operate, or Move's registered address
  • e-CPF digital certificate, to sign the contract and filings
  • Partners' details, if there is more than one
  • How you plan to work: hospitals, health plans, practice or online care
Costs

How much it costs to open a CNPJ

Incorporation fees are free on the Growth and Scale plans. The company pays the government fees, such as those of the Commercial Registry and the city, which vary by city and type of company, and the digital certificate.

After the CNPJ

What happens after the CNPJ is issued

With the CNPJ active, the company still needs a few steps before it can start invoicing. We follow all of them:

  • Municipal registration and access to the city's invoicing system or the national NFS-e
  • Registration of the company with the professional council, when required, such as the CRM corporate registration
  • Company CNES registration, for those working with health plans
  • Business account to keep company money separate from personal money
  • First invoice issued with guidance from our team
  • Partners' remuneration and first tax calculation, already planning for Factor R
Common mistakes

Mistakes that make a healthcare CNPJ more expensive

  • Choosing a CNAE that puts the company in Annex V, with an initial tax rate of 15.5%
  • Choosing Presumed Profit without simulating the Simples with Factor R
  • Opening at your home address without checking whether city law allows the activity
  • Forgetting to register the company with the professional council
  • Mixing your personal account with the company account
  • Not planning partners' remuneration, which defines Factor R every month
Frequently asked questions

About incorporation

Is incorporation free?

Yes, on the Growth and Scale plans. Government fees follow each city's rules.

Can I open the CNPJ alone, without a partner?

Yes. The single-member limited company (SLU) lets you open the company alone, with your personal assets kept separate from the company's.

Can I use my home address?

It depends on your city's law and how you will work. If you only work in third-party hospitals and clinics, you can use Move's registered address.

Which regime is best for those just starting?

In most cases, the Simples Nacional with Factor R, which places the company in Annex III. But it depends on revenue and payroll, so we simulate before incorporation.

Do I need a digital certificate?

Yes. The e-CPF is used to sign the contract and incorporation filings, and the company certificate is used for invoices and tax obligations.

How long does it take to open the CNPJ?

It depends on the city and the authorities involved. We track every step and update you on each milestone.

Do I have to choose the CNAE myself?

No. Together with you we define the codes that match your practice and the best tax classification.

What about registration with the council (CRM, CRP and others)?

You complete the registration yourself, with support from the Move team.
